Terms of Service – BidAmerica

Welcome to BidAmerica.com (“BidAmerica,” “we,” “our,” or “us”). By accessing or using our website, applications, or services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). These Terms govern your access to and use of all BidAmerica offerings, including the BidAmerica Free Plan and BidAmerica Premium.

If you do not agree to these Terms, you may not access or use the Platform.

1. Service Description

BidAmerica provides a digital plan room and project intelligence platform focused on public works construction projects, primarily within the State of California. The Platform compiles, organizes, summarizes, and enhances publicly available project information, including but not limited to plans, specifications, addenda, bid schedules, planholder lists, and related materials.

Some documents or materials may not be available due to agency restrictions, non-participation, timing, or technical limitations.

2. Plans, Access Levels, and Trials

BidAmerica Free Plan

BidAmerica offers a free access tier (the “BidAmerica Free Plan”) intended to increase visibility and access to public works opportunities. Available features and limitations are described on the Platform and may change at any time.

BidAmerica Premium

BidAmerica Premium is a paid subscription that provides expanded access to documents, filters, alerts, AI-assisted tools, and enhanced project intelligence.

Trials

BidAmerica may offer complimentary or trial access to Premium features at its sole discretion. Trial access may begin, change, expire, or be discontinued at any time without notice. Upon expiration of a trial, access will revert to the BidAmerica Free Plan unless a paid subscription is activated.

3. Subscription Terms and Renewal (Paid Plans)

Automatic Renewal

Paid subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.

Cancellation

You may cancel your subscription at any time through your My Account dashboard by selecting Subscriptions → Cancel.
Cancellations submitted via phone, voicemail, or email are not accepted.

Refund Policy

All fees are non-refundable. No full or prorated refunds are issued once a billing cycle has been charged. After cancellation, access continues through the end of the current billing period.

4. Pricing and Fee Adjustments

Introductory or promotional pricing may apply only to the initial billing period
Subsequent billing cycles revert to standard published rates
BidAmerica reserves the right to modify pricing, fees, or plan structures at any time by updating the Platform

5. Permitted Use and Restrictions

The Platform is intended for individual contractor use to identify, evaluate, and pursue public works bidding opportunities.

Prohibited Activities

You may not, directly or indirectly:

Mass download, scrape, harvest, or export Platform data or documents
Use automated tools, bots, scripts, crawlers, browser extensions, or headless browsers
Republish, resell, sublicense, or distribute BidAmerica compilations or summaries
Repackage BidAmerica content into competing plan rooms, databases, or alert systems
Create derivative products or services that compete with BidAmerica
Share accounts or credentials to bypass subscription limits
Remove or obscure proprietary notices

Public Agency Documents Exception

You retain the independent right to use Public Agency Documents obtained directly from issuing agencies or other lawful sources. However, you may not use BidAmerica’s proprietary compilations, formatting, indexing, tagging, annotations, AI outputs, or analytical enhancements except as expressly permitted under these Terms.

Violations may result in immediate suspension or termination and may lead to legal action.

6. Account Usage

Subscriptions are licensed to a single individual associated with the registered email address
Credential sharing is prohibited
Concurrent logins may result in automatic session termination

7. Intellectual Property Rights

BidAmerica retains all right, title, and interest in the Platform and all proprietary materials, including databases, software, AI outputs, compilations, enhancements, and presentation formats (“BidAmerica Materials”).

BidAmerica does not claim ownership of Public Agency Documents in their original form, but expressly retains rights in its aggregation, enhancement, analysis, and presentation of such materials.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the Platform solely for internal business purposes during the term of your access.

8. Public Information and Legal Compliance

BidAmerica compiles publicly available records in accordance with California law, including Assembly Bill 2036 (2011) and California Public Contract Code §10111.2. BidAmerica charges a convenience subscription fee for platform access and enhancements but does not claim ownership of public records.

9. AI-Generated and Automated Content Disclaimer

BidAmerica utilizes artificial intelligence, machine learning models, automated data extraction, and algorithmic processes (collectively, “AI Tools”) to assist in organizing, summarizing, categorizing, tagging, searching, and presenting project-related information.

Informational Use Only

All AI-generated or AI-assisted content—including summaries, scopes, classifications, bid item interpretations, alerts, filters, recommendations, and search results—is provided for informational and convenience purposes only.

Such content does not constitute and shall not be relied upon as legal advice, engineering advice, estimating advice, compliance guidance, professional opinions, certifications, official bid documents, or agency determinations.

No Guarantee of Accuracy or Completeness

AI-generated content may contain inaccuracies, omissions, misinterpretations, incomplete extractions, incorrect classifications, outdated information, bias, or “hallucinations.”

BidAmerica makes no representations or warranties regarding accuracy, completeness, reliability, or suitability.

User Responsibility

You acknowledge and agree that:

You are solely responsible for reviewing original project documents
You must independently verify all information with issuing Public Agencies
AI-generated content is not a substitute for reviewing official plans, specifications, addenda, or bid instructions
All bidding, estimating, compliance, scheduling, and business decisions are made at your own risk

Limitation of Reliance

BidAmerica shall not be liable for any losses or damages arising from reliance on AI-generated or automated content, including missed deadlines, incorrect scopes, quantity errors, work misclassification, or failure to identify addenda.

Evolution of AI Features

AI Tools may evolve over time. All current and future AI-assisted features are subject to this Section.

All AI-generated content is provided “as is” and “as available.”

10. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” BidAmerica disclaims all warranties, express or implied, including accuracy, completeness, availability, merchantability, or fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, BidAmerica shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including loss of profits, loss of data, missed bid opportunities, or business interruption.

Without limiting the foregoing, BidAmerica shall have no liability for any claims, losses, or damages arising from reliance on AI-generated, automated, summarized, or enhanced content provided through the Platform.

12. Privacy

BidAmerica does not sell or rent personal information. Aggregated or anonymized usage data may be displayed within the Platform and does not include personally identifiable information.

13. Termination and Suspension

BidAmerica reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to the Platform, in whole or in part, at any time and for any reason, including but not limited to:

Violation of these Terms
Suspected or actual misuse of the Platform
Unauthorized scraping, downloading, redistribution, or account sharing
Conduct that may harm BidAmerica, its users, public agencies, or third parties
Legal, regulatory, or compliance requirements
Security, technical, or operational concerns

Termination or suspension may occur with or without notice and with or without cause, and BidAmerica shall have no liability to you or any third party for such action.

Upon termination:

Your right to access and use the Platform will immediately cease
Any licenses granted under these Terms will automatically terminate
BidAmerica may delete or disable access to your account and associated data, subject to applicable law

Termination does not relieve you of any obligations incurred prior to termination, including payment obligations, nor does it limit any rights or remedies available to BidAmerica at law or in equity. Sections relating to intellectual property, prohibited use, disclaimers, limitation of liability, indemnification (if applicable), and governing law shall survive termination.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. You agree to submit to the jurisdiction of California courts.
